Welcome to Impact Collage. These Terms & Conditions ("Terms") are an agreement between Impact Collage ("Impact Collage," "we," "us," or "our") and the nonprofit organization or individual creating an account ("you," "your," or "Customer") governing your access to and use of the Impact Collage website, dashboard, and donor-recognition collage service available at impactcollage.com (the "Service").

By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. The Service

Impact Collage lets a nonprofit organization upload photos and information about its donors, automatically arranges them into a zoomable, browsable photo collage, and lets you embed that collage on your own organization's website using a snippet of code we provide. We host the collage image, the viewer, and the underlying donor data behind your account.

2. Eligibility and Account Approval

The Service is intended for legitimate nonprofit organizations. When you sign up, we manually review new accounts before granting access, using the organization name, website, and email address you provide. We may approve, reject, or request more information about any application in our sole discretion. You represent that the information you provide is accurate and that you are authorized to create an account on your organization's behalf.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at admin@impactcollage.com if you believe your account has been compromised. You must keep your account information accurate and up to date, including your organization's website address and the email address associated with your account.

4. Free Trial and Fees

Newly approved accounts receive a free trial period (currently 30 days) with full access to the dashboard, and no payment method is required to start. After the trial ends, continued access to the dashboard's collage-building tools (adding or editing donor photos, and updating your collage) requires an active paid subscription. Any collage you have already built and embedded will keep working on your own website even if your trial ends or a subscription lapses — only the dashboard tools for adding and editing photos are affected.

Once paid subscriptions are available, fees, billing frequency, and payment terms will be presented to you before you are charged, and payments will be processed through our payment processor, Stripe. Except where required by law or stated otherwise at the time of purchase, fees are non-refundable. We may change our pricing on a going-forward basis with reasonable notice.

5. Donor Content: Your Responsibility and Our License

"Donor Content" means the photos, names, donor IDs, and social media information you or your organization upload to the Service.

You retain ownership of your Donor Content. By uploading it, you grant Impact Collage a worldwide, non-exclusive, royalty-free license to host, store, reproduce, resize, crop, and otherwise technically process your Donor Content, and to display it through the collage viewer — both when embedded on your own website and, where applicable, on impactcollage.com — solely to provide the Service to you.

You are solely responsible for your Donor Content and represent and warrant that: (a) you have obtained all consents, permissions, and rights necessary from each donor (or, where a donor is a minor, from their parent or legal guardian) to upload, publicly display, and associate their name, photo, and social media handle with your organization through the Service; (b) your Donor Content is accurate and does not infringe any third party's intellectual property, privacy, or publicity rights; and (c) your use of the Service, including the content you upload, complies with all applicable laws. If a donor asks you to remove their photo or information, you are responsible for removing it using the dashboard's editing tools.

We may investigate and take appropriate action, including removing content or suspending your account, if we believe you have violated this section.

7. The Embedded Collage

Each account gets a unique embed token used to display your collage on your own website through the embed snippet we provide. The embed is intended for use on your organization's own website(s) only. Keep your embed token confidential; you are responsible for activity associated with it. We may update the viewer's underlying code, hosting infrastructure, or embed mechanism from time to time; we will aim to keep any such changes compatible with embed snippets already placed on your site.

8. Intellectual Property

The Service — including its software, design, collage-viewer technology, and the Impact Collage name and logo — is owned by Impact Collage and our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your organization's own donor-recognition purposes. Nothing in these Terms transfers ownership of the Service to you, and nothing transfers ownership of your Donor Content to us.

9. Third-Party Services

The Service uses select third-party providers to operate — for example, Stripe for payment processing, and analytics or live-chat tools that help us understand how the dashboard is used and support our customers. Your use of those features may also be governed by that provider's own terms and privacy practices.

10. Privacy

Our Privacy Policy describes how we collect, use, and protect information submitted through the Service, including account information and Donor Content. By using the Service, you also agree to that policy.

11. Suspension and Termination

We may suspend or terminate your account if you violate these Terms, if your organization's application is rejected or found not to be a legitimate nonprofit, for non-payment after your trial or subscription lapses beyond a reasonable grace period, or if we discontinue the Service. You may stop using the Service, or request that we delete your account, at any time by contacting admin@impactcollage.com. Upon termination, your right to use the dashboard ends, and we may remove your collage from the embed at that time; you should remove the embed snippet from your own website if you no longer want it displayed.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPACT COLLAGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100 IF YOU HAVE NOT PAID US ANYTHING.

14. Indemnification

You agree to indemnify and hold Impact Collage harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from your Donor Content, your breach of these Terms, or your violation of any law or third party's rights.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice — for example, by posting the updated Terms here with a new "Last updated" date, or by emailing the address on your account. Continuing to use the Service after changes take effect means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles.
